1. ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”) govern your access and use of the website www.factor-fi.com (the “Site”), owned and operated by FactorFi, LLC (“FactorFi,” “we,” “us,” or “our”), a Florida limited liability company.
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
If you do not agree, you must discontinue use of the Site immediately.
2. DESCRIPTION OF SERVICES
FactorFi provides commercial factoring services, including:
- Purchase of accounts receivable
- Advance funding to business clients
- Account debtor verification
- Receivables management and notifications
FactorFi is not a bank, does not provide consumer credit, does not take deposits, and is not a lender unless expressly stated by written agreement.
All factoring services are governed by a separate executed Factoring Agreement, which supersedes the general information found on this Site.
3. ELIGIBILITY
This Site and FactorFi’s services are intended solely for:
- U.S.-registered businesses
- Authorized representatives of such businesses
- Individuals 18+ with legal capacity to enter into binding agreements
FactorFi may deny access, registration, or service for any reason, including incomplete identity verification, risk concerns, fraud indicators, or regulatory restrictions.
4. PERMITTED USE OF THE SITE
Users agree not to:
- Copy, distribute, mirror, or alter any content on the Site
- Engage in unauthorized access, data scraping, or security breaches
- Upload harmful code, malware, or automated scripts
- Misrepresent identity or provide false business documentation
- Interfere with the Site’s operations or servers
Any violation may result in termination of access and potential legal action.
5. USER RESPONSIBILITIES

FactorFi is not liable for losses resulting from false, fraudulent, or incorrect information provided by the user or its representatives.
6. FACTORING SERVICES AND LIMITATIONS
Accessing or using this Site does not guarantee approval for factoring.
All factoring transactions:
- Are subject to due diligence
- Include risk assessment and account-debtor verification
- Require written contractual acceptance by both parties
FactorFi may decline any receivable for purchase at its sole discretion.
FactorFi does not provide:
- Tax, accounting, legal, or financial advice
- Guarantees of account debtor payment
- Investment or credit products governed by banking laws
Users should consult independent professional advisors before entering into any factoring transaction.
7. INTELLECTUAL PROPERTY
All content on the Site—including logos, text, images, software, design elements, trademarks, and the FactorFi name—is the exclusive property of FactorFi, LLC.
Users may not reproduce, distribute, modify, or exploit any portion of the Site without prior written authorization.
Unauthorized use may result in civil or criminal liability.
8. CONFIDENTIALITY
FactorFi and the user agree to maintain confidentiality of all non-public information exchanged, except:
- When required by law or court order
- When necessary to perform factoring services
- When verifying accounts receivable with account debtors
FactorFi follows reasonable security practices but cannot guarantee absolute confidentiality due to inherent internet risks.
9. DISCLAIMER OF WARRANTIES
The Site and its content are provided “as is” and “as available.”
FactorFi makes no warranties regarding:
- Accuracy or completeness of information
- Uninterrupted Site availability
- Virus-free or error-free operation
- Future approval for factoring services
Use of the Site is at your sole risk.
10. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- FactorFi is not liable for indirect, incidental, punitive, or consequential damages
- FactorFi is not liable for losses related to decisions based on Site content
- FactorFi is not liable for user errors, document mistakes, or fraud
- FactorFi’s total liability is limited to the amount paid by the user (if any) for accessing the Site, which in most cases is $0
These limitations apply even if FactorFi has been advised of possible damages.

FactorFi has no control over these sites and is not responsible for:

14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Dispute Resolution
Before litigation, both parties agree to attempt good-faith negotiation.
If unresolved, disputes may be resolved through:
- Binding arbitration, or
- Florida state or federal courts,
- at FactorFi’s sole election.
Users expressly consent to jurisdiction in Miami-Dade County, Florida.
15. MODIFICATION OF TERMS
FactorFi may modify these Terms at any time.
Updates will be posted with a new effective date.
Continued use of the Site constitutes acceptance of revised Terms.
